SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has reached a deal to purchase Hugging Face in a transaction valued at approximately $12.93 billion. The agreement was signed on September 2, 2026, with Nvidia set to pay about $11.9 billion to Hugging Face shareholders, subject to standard adjustments. Additionally, the deal includes up to roughly $1 billion in equity-based retention awards for eligible employees. Both companies anticipate the completion of the transaction in the first half of 2027, pending necessary approvals.

Hugging Face is a key platform for artificial intelligence models, datasets, software libraries, and developer tools. Nvidia reports that the platform has over 18 million users, including developers, researchers, and content creators. It hosts more than 3 million models, around 500,000 datasets, and offers access to more than 1 million AI development applications. Over 200,000 organizations leverage Hugging Face’s services to discover, test, customize, and deploy AI across diverse computing platforms.
Post-acquisition, Hugging Face will continue supporting various models, frameworks, cloud services, and hardware platforms. Developers will not be required to use Nvidia hardware. The platform will uphold open-source and open-weight models from multiple providers and remain compatible with numerous cloud environments and accelerator technologies. Nvidia has stated that Hugging Face will maintain its support for silicon vendors beyond Nvidia’s own products, as part of the transaction commitments.
Open AI platform commitments will persist
Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. Its services have expanded to include model hosting, datasets, developer libraries, and cloud AI tools. The company achieved a $4.5 billion valuation in August 2023 after raising $235 million from technology investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects connecting developers with Nvidia’s infrastructure and software tools.
Nvidia disclosed the acquisition deal in a Form 8-K filed with the U.S. Securities and Exchange Commission on September 3, 2026. The filing confirms that the deal is still pending and has yet to close, with completion contingent upon regulatory approvals and usual closing conditions. Nvidia also outlined operational commitments for Hugging Face post-transaction, including ongoing access to models and datasets, multi-cloud support, and compatibility with hardware from other semiconductor firms.
Expected completion in early 2027
Nvidia already has a significant presence within the Hugging Face developer community. The company reports having released over 500 models and more than 250 open datasets on the platform. It also provides software libraries and development tools that enable users to adapt for AI projects. Hugging Face supports model discovery, testing, customization, and deployment, serving businesses, research teams, and independent developers working with machine learning, generative AI, and other AI applications.
The $12.93 billion Nvidia deal to acquire Hugging Face will undergo review until all conditions are satisfied. Nvidia projects the transaction will close in the first half of 2027. The platform will continue supporting developers across various models, cloud providers, frameworks, and hardware platforms according to the announced commitments. Its multi-cloud and multi-accelerator strategy will remain intact. Until the deal’s completion, Nvidia and Hugging Face will operate as separate entities under the terms of the signed agreement.
